Governance and Organizational Structure
This area deals with the development and analysis of the organizational structure and with delineating responsibility, authority, and accountability at all levels of the organization. Functions include the development and implementation of policies and procedures for the governance process.
Governing Board - Executive Session(s)

During the online presentation, Larry Tyler mentioned that it is a good idea to establish a recurring "executive session" for the board, where the CEO is not present.

I am interested to hear from the online community if this is an activity that your board schedules in advance or if it is ad hoc in nature.

In both the hospitals that I've worked in these meetings were planned in advance twice a year. M

At my organization, the executive sessions were planned in advance. The Chairman had the Executive Session on the agenda prior to the Board Meeting.

Executive sessions are scheduled and are part of our board meetings.
