What professions/expertise should be represented in the composition of a hospital board in order to assure it is well rounded and enabled to make competent decisions?

Are there any best practices or an objective way to select board members? Many times the selected board members might be prominent community leaders but it might not be savvy on healthcare operations. Any guidance?

In Mr. Tyler's presentation he mentioned the Corporate Director's Guidebook from the Committee on Corporate Laws from the American Bar Association as a reference to use for information on Boards. Have any of you ever used this guidebook?

What is the best procedure to follow when inviting a non-voting physician to express an opinion on an issue to the board? Physician input is sought but sometimes must be limited to a very specific area to allow the agenda to continue. Are the visiting physician comments to be reviewed by the CEO, Chair of Medicine and Board Chair prior to the meeting? If a deviation occurs that starts to get off the agenda, how is that handled? I have read where a CEO had to have security present to deter any potential disturbance.

The PowerPoint presentation indicates that governing boards are ultimately responsible for ensuring the quality of medical care provided. Is there an ideal ratio of clinical representation that should participate on hospital parent boards (i.e. 30% of hospital boards should be physicians)? Have participants of this session found that it is difficult to align goals of governing boards with those of the medical staff? RScott

I thought it was interesting that the extra readings state that boards should not have to meet more than 6 times per year and that you if you need to meet more often that you have not effectively delegated work to committees. The Boards I have served on and recent knowledge of the Hospital Board meet monthly. Have any of you experienced less meetings effectively?

The regulations and safe guards involved with Sarbanes-Oxley have been widely applied to the for-profit corporate world. It is also important in the not-for-profit world, although to my knowledge not a legal requirement as it is with the for-profits. Has anyone seen the requirements/safeguards used in their institution? Has the law of the general business world made headway into Healthcare?

If the Board is responsible for setting the mission, vision and values of the organization, how are these three items effected with the turnover of Board members? Is it safe to assume the a healthcare organization should constantly be re-evaluting its purpose based on the ever changing environment and thus redefine the mission, vision and values as needed?

Who do the external auditors report to if they come to our hospital to perform an audit? Who do they provide their findings/reports to? Our CEO, Executive Committee, Quality Committee, or ?? Are they primarily concerned with our physicians, management, or our senior leadership?

During the online presentation, Larry Tyler mentioned that it is a good idea to establish a recurring "executive session" for the board, where the CEO is not present. Is there a difference between 'board members', 'directors' and 'trustees'? Are there are situations in which there is some consequential difference between the terms board member and trustee?
