Governance and Organizational Structure
This area deals with the development and analysis of the organizational structure and with delineating responsibility, authority, and accountability at all levels of the organization. Functions include the development and implementation of policies and procedures for the governance process.

What goes into the annual self evaluation? How is it performed? Are there any samples that could be posted for reference?

Are board members involved in the interview process in selecting the CEO, or are they handed the finalist after the HCO leadership interviews and selects the final few? Do the HCO leaders have any influence on the boards selection?

If there are other people that report directly to the board (e.g. Chief Compliance Officer) should the board be involved in hiring those people as well as the CEO? (Slide 12 in the Goverance Presentation from the On-Line Tutorial)

Hi: Do trustees usually have contracts? If not, in the event of the need to terminate a trustee before the end of his/her term (i.e undisclosed COI), is this handled by an executive board vote? Wednesday April 9, 2008

Should every community have its own HCO with its own mission, or should hospitals be like Wal-Mart, where the mission is set once for the world? If there is a virtue to individual community missions, what is it and how should a local governing board establish a mission?
